Terms of Sale
These Terms of Sale (“Terms”) govern all sales of products and services by BMV ANIMAL TECHNOLOGY CO.,LTD (“BMV”, “we”, “us”) to you (“Customer”). By purchasing any of BMV’s veterinary products or services, you agree to be bound by these Terms, which constitute the entire agreement between the parties regarding the subject matter herein.
1. Scope of Products and Services
1.1 The products and services covered by these Terms include BMV’s veterinary-specific solutions, such as but not limited to diagnostic imaging equipment, anesthesia and monitoring systems, dentistry solutions, laboratory diagnostics tools, intensive care units, and related technical support and after-sales services.1.2 Product specifications, features, and included accessories shall be confirmed in BMV’s written order confirmation. BMV reserves the right to make reasonable updates to product details (without materially reducing functionality) without prior notice.
2. Order and Acceptance
2.1 Customer’s order for BMV products or services constitutes an offer to purchase. BMV may accept the offer by issuing a written order confirmation; no order is binding on BMV until such confirmation is provided.2.2 BMV reserves the right to reject any order that fails to comply with these Terms, exceeds available inventory, or is inconsistent with BMV’s business policies (e.g., orders for non-veterinary use of products).
3. Pricing and Payment
3.1 Pricing for products and services is as quoted by BMV in writing (e.g., quotation documents, order confirmations) and excludes taxes, shipping fees, insurance, customs duties, and other third-party charges, all of which shall be borne by the Customer.3.2 Payment terms are net [XX] days from the date of BMV’s invoice, unless otherwise agreed in writing. For overdue payments, BMV may charge interest at a rate of [X]% per month (or the maximum legal rate, whichever is lower) and suspend delivery or cancel outstanding orders.3.3 Payments must be made in the currency specified in BMV’s invoice. BMV reserves the right to withhold product delivery or title transfer until full payment is received.
4. Delivery and Risk of Loss
4.1 Delivery terms (e.g., EXW, FOB, CIF) shall be specified in BMV’s order confirmation. BMV will use reasonable efforts to meet estimated delivery dates, but delays shall not constitute a breach of these Terms unless caused by BMV’s gross negligence or willful misconduct.4.2 Risk of loss or damage to products passes to the Customer upon delivery (or tender of delivery, per agreed terms). Title to products remains with BMV until Customer completes full payment.4.3 Customer shall bear all costs related to shipping, handling, and delivery, unless explicitly stated otherwise in BMV’s order confirmation.
5. Warranty
5.1 BMV warrants that products sold hereunder will be free from defects in materials and workmanship for [X] months from the date of delivery. Specific warranty periods for certain components (e.g., probes, detectors) may be separately specified in writing.5.2 This warranty does not cover: (a) damage from improper use, installation, maintenance, or modification without BMV’s written approval; (b) normal wear and tear; (c) use of non-BMV-approved accessories or consumables; (d) damage from accidents, natural disasters, or external force.5.3 BMV’s sole obligation under this warranty is to repair, replace, or refund (at BMV’s discretion) defective products, provided Customer notifies BMV of the defect within the warranty period and returns the product (at BMV’s cost, if covered) for inspection.5.4 Except for the express warranty above, BMV disclaims all other warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
6. Returns and Cancellations
6.1 Customer may cancel an order only with BMV’s prior written consent. Cancellations of custom-configured products or products already in production are not permitted, unless otherwise agreed.6.2 Returns of non-defective products are subject to a [X]% restocking fee, and Customer shall bear all shipping costs. Such returns will only be accepted if products are unused, in original packaging, and notified to BMV within [X] days of delivery.6.3 Defective products may be returned under the warranty provisions in Section 5, without restocking fees.
7. After-Sales Service and Technical Support
7.1 BMV will provide after-sales service as agreed in writing, which may include technical support, regular maintenance, software upgrades, and accessory replacement (subject to applicable fees for non-warranty services).7.2 On-site technical support or training may be subject to additional charges, unless included in the product/service package.
8. Limitation of Liability
8.1 In no event shall BMV be liable for indirect, incidental, consequential, special, or punitive damages (e.g., lost profits, business interruption, loss of data) arising from or related to these Terms or the use of BMV’s products/services, even if BMV has been advised of the possibility of such damages.8.2 BMV’s total liability for any claim (whether for breach of contract, negligence, or other causes of action) shall not exceed the total purchase price of the products/services giving rise to the claim.
9. Governing Law and Disputes
9.1 These Terms shall be governed by and construed in accordance with the laws of Guangdong Province, People’s Republic of China, excluding its conflict of laws rules.9.2 Any dispute arising from or related to these Terms shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to arbitration in Shenzhen, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration award shall be final and binding on both parties.
10. General Provisions
10.1 These Terms supersede all prior oral or written agreements, understandings, or representations between the parties regarding the sale of products/services.10.2 BMV may modify these Terms only in writing signed by both parties. No waiver of any breach of these Terms shall constitute a waiver of any subsequent breach.10.3 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
